This document is published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries Guidelines) Rules, 2011, which require publishing the rules and regulations, privacy policy, and terms of use for access or usage of placeoptimizer.com, including the operator console at app.placeoptimizer.com (together, the "Platform").
Platform ownership
The Platform is owned by Invarya Technologies Private Limited, a company incorporated under the Companies Act with its registered office at C-904, 9th Floor, Costa Blanca, Samarth Nagar, Baner, Pune, Maharashtra 411045, India (the "Platform Owner", "we", "us", "our").
Agreement to terms
Your use of the Platform and its services and tools is governed by these terms and conditions ("Terms of Use"), including the applicable policies incorporated herein by reference. If you transact on the Platform, you are subject to the policies applicable to that transaction. By merely using the Platform you contract with the Platform Owner, and these terms, including the policies, constitute your binding obligations. Any terms proposed by you that add to or conflict with these Terms of Use are expressly rejected and shall have no force or effect. These Terms of Use can be modified at any time without assigning any reason; it is your responsibility to review them periodically.
Wherever the context requires, "you", "your", or "user" means any natural or legal person who uses the Platform or has agreed to become a user on it.
ACCESSING, BROWSING OR OTHERWISE USING THE PLATFORM INDICATES YOUR AGREEMENT TO ALL THE TERMS AND CONDITIONS UNDER THESE TERMS OF USE, SO PLEASE READ THEM CAREFULLY BEFORE PROCEEDING.
Terms of use
Use of the Platform and our services is subject to the following:
- You agree to provide true, accurate, and complete information during and after registration, and you are responsible for all acts done through your registered account.
- Audit results, scores, and reports are produced from third-party data sources (including Google) at a point in time. Neither we nor any third party warrants the accuracy, timeliness, completeness, or suitability of the information and materials offered on the Platform for any specific purpose. We expressly exclude liability for inaccuracies or errors to the fullest extent permitted by law.
- Your use of the Platform is at your own risk and discretion. You must independently assess whether the services meet your requirements.
- The contents of the Platform and its services are proprietary to us or licensed to us. You gain no intellectual-property rights, title, or interest in them, including the design, layout, look, and graphics.
- Unauthorised use of the Platform may lead to action under these Terms of Use and applicable law.
- You agree to pay the charges associated with paid services.
- You agree not to use the Platform for any purpose that is unlawful or forbidden by these Terms or by Indian or other applicable law, including submitting audit requests for businesses you have no legitimate interest in, or attempting to circumvent rate limits and usage caps.
- The Platform may contain links to third-party websites; your use of those sites is governed by their own terms and policies.
- You acknowledge that we use analytics services (Google Analytics 4 and a self-hosted Plausible instance) to measure usage of the Platform, as described in our Privacy Policy and Cookie Policy.
- Initiating a transaction for paid services creates a legally binding and enforceable contract with the Platform Owner.
- You shall indemnify and hold harmless the Platform Owner, its affiliates, group companies, and their respective officers, directors, agents, and employees from any claim, demand, or action, including reasonable attorney's fees, made by any third party or any penalty imposed, arising from your breach of these Terms of Use, the Privacy Policy, or other policies, or your violation of any law or the rights of a third party.
Force majeure
Notwithstanding anything contained in these Terms of Use, the parties shall not be liable for any failure to perform an obligation under these Terms if performance is prevented or delayed by a force majeure event.
Governing law
These Terms and any dispute or claim relating to them, or their enforceability, shall be governed by and construed in accordance with the laws of India.
All disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.
